1. Scope

These Terms of Service ("Terms") apply to the use of the website www.feedoptimizer.ai, the web application app.feedoptimizer.ai, and the SaaS service FeedOptimizer.AI, operated by:

By registering for FeedOptimizer.AI or using our services, you agree to these Terms of Service. Please read them carefully before using our service.

Business customers only: Our services are offered to business customers only. Consumers are excluded from using the service. By placing an order you confirm that you are acting in the course of your trade, business or profession.

Language versions: These Terms of Service exist in a German and an English version. The German version applies to customers whose registered seat is in Germany, Austria or Switzerland; the English version applies to all other customers. Which version applies also determines the governing law under Section 14.

2. Service Description

FeedOptimizer.AI is an AI-powered SaaS service for optimizing Google Shopping product feeds. The service includes:

Connection to your Google Merchant Center via Google OAuth 2.0
Import of product data from your Google Merchant Center
AI-powered optimization of product titles and descriptions using Google Gemini
Upload of optimized data as a supplemental feed to your Google Merchant Center
Before/after comparison of optimizations
Export of your original and optimized data as an Excel file

Important note: Your original feeds in Google Merchant Center are never modified by FeedOptimizer.AI. All optimizations are uploaded exclusively as supplemental feeds.

3. Account and Google OAuth

A Google account is required to use FeedOptimizer.AI. By registering, you authorize FeedOptimizer.AI to access the following Google services:

Google User Info: Email address, name, and profile picture for account creation
Google Merchant Center: Reading product data and uploading supplemental feeds
Google Analytics: Website analytics (with your consent only)

You can revoke Google OAuth access at any time through your Google Account settings. Revoking access will prevent FeedOptimizer.AI from accessing your Merchant Center.

You are responsible for the security of your account and all activities that occur under your account.

4. Plans, Capacity and Usage Limits

Current plans and pricing can be found on our pricing page. The rules below apply regardless of which plan you have booked.

4.1 Capacity and managed products

Managed products are all products we have taken into ongoing management for you, meaning products that have been optimized at least once and that are still present in your account. If a product is removed from your account, for example by deleting it in Merchant Center or disconnecting the feed, management of that product ends and the corresponding capacity is released.

Capacity is the maximum number of simultaneously managed products of the plan you booked. It applies account-wide across all connected Google accounts, Merchant Centers and feeds.

Capacity is a concurrent measure, not a consumption quota: the ongoing management of products already taken on, including repeat optimizations under Section 4.4, uploads and automated runs, does not consume additional capacity. The number of managed products shown in your account, determined by the counting rules documented in the service description, is authoritative.

4.2 Plans and plan changes

We offer plans with fixed capacity tiers (bands). The price agreed at the time of booking remains unchanged for the booked plan. A price change only occurs through a plan or add-on change initiated by you.

Upgrade: A change to a higher band takes effect immediately. We charge the price difference for the current billing period on a pro rata basis and invoice it immediately. Payments already made for the current period are credited.
Downgrade: A change to a lower band only takes effect at the end of the current billing period. Until then, the previous plan continues to apply. With annual billing this can mean a period of up to twelve months. No pro rata refund is given for the current period.

If the number of products in your account exceeds the capacity of the booked band, the price does not change automatically; Section 4.5 applies. Plan changes are made by you only.

4.3 Add-ons

Connected Merchant Centers and target languages are included in your plan as follows:

Free plan and bands up to and including 2,000 products: one each
Bands 5,000 and 10,000: three each
Bands from 25,000 upwards: no numerical limit

Beyond the included amount, you can book further Merchant Centers and further target languages as add-ons. Pricing follows the price list. A booking takes effect immediately and is charged pro rata for the current billing period.

Cancelling an add-on takes effect immediately; access to the additional service ends upon cancellation. Fees already paid for the current billing period are not refunded pro rata.

On a band change, the included amounts of the new band apply. Add-ons you have already booked continue independently of this until you cancel them. If they become redundant because of a higher included amount, we do not end them on our own.

4.4 Fair use

Optimizations are included in the service, but limited in volume to protect against abusive overuse. Within a rolling period of 30 days, optimizations up to factor times capacity are included. Each individual optimized product is counted, regardless of whether it is optimized for the first time or repeatedly. The factor depends on the band you booked:

Free plan and bands up to 2,000 products: factor 2.5 (in the 2,000 band, 5,000 optimizations per 30 days)
Bands 5,000 and 10,000: factor 1.5 (in the 10,000 band, 15,000)
Bands 25,000 and 50,000: factor 0.6 (in the 50,000 band, 30,000)
Band 100,000: factor 0.25 (25,000)

The counter is rolling: each optimization drops out of consideration after 30 days. There is no fixed reset date.

Once the limit is reached, we pause further optimization runs only, until the rolling counter falls below the limit again. All other services continue unchanged; in particular, no data, optimization results or uploads are deleted or withheld. We inform you in the product when the limit is reached and when the next run becomes available.

The limits are set so that normal use does not reach them. They serve to protect system stability and to prevent abusive automated bulk runs.

4.5 Behaviour when capacity is exhausted

If the capacity of the booked band is fully taken up by managed products, we do not take on any further products and inform you in the product.

All services for products already managed continue unchanged, including optimizations under Section 4.4, uploads and automated runs.
When management of individual products ends, the released capacity is automatically used for new products.
No automatic plan upgrade takes place. We may suggest a plan change; the decision is yours.

4.6 Free plan and reservation of change

We offer a permanently free plan with a capacity of 200 managed products. It includes manual optimization and upload to Merchant Center, as well as one Merchant Center and one target language. Section 4.4 applies accordingly.

From 1 October 2026, automated optimization runs for new products, automatic re-optimization of changed product data and custom optimization instructions are not included. We announced this change to the affected accounts in text form on 21 August 2026.

We may adjust the scope of the free plan with effect for the future, to the extent this is reasonable for you taking into account that the plan is free of charge. We announce restrictions of the scope in text form at least 30 days before they take effect. There is no entitlement to permanent availability of the free plan; the same notice period applies if it is discontinued.

5. Pricing, Payment and Taxes

Payment processing is handled by our payment service provider Stripe, Inc.

Prices are shown in Euros (EUR) or US Dollars (USD), depending on the language version of our offering. The amounts are nominally identical in both currencies; no conversion takes place
All prices are net prices and do not include sales tax or VAT
You can choose between monthly and annual billing. In both cases we bill in advance for the chosen period
In case of a failed payment, Stripe will automatically retry the charge. If payment continues to fail, access to the service may be restricted
Refunds for unused subscription time within a current billing period are not available. Exceptions are reviewed on a case-by-case basis

5.1 Taxes and tax identification number

We do not charge VAT. For business customers in the European Union, the reverse charge mechanism under Art. 196 of Council Directive 2006/112/EC applies: you account for VAT yourself as the recipient. For the United Kingdom and Switzerland, the equivalent domestic mechanism of your country applies. Your invoice carries the corresponding note.

Providing a tax identification number is a precondition for purchase wherever our payment service provider supports a tax ID type for your billing country. Checkout asks for it and validates its format; the substantive validity check is performed afterwards.

You are obliged to provide us with a correct tax identification number and to notify us of changes without undue delay. If a number provided turns out to be invalid, we may ask you to correct it and restrict access until the matter is resolved. If taxes are assessed against us because your information was incorrect, you shall indemnify us accordingly.

6. Contract Duration and Cancellation

A contract for a paid plan runs for one month or one year, depending on the billing frequency you choose. It renews for the same period unless cancelled by the end of the current billing period.

Cancellation: You can cancel at any time with effect from the end of the current billing period, in particular through account management in the app or by emailing support@feedoptimizer.ai
Effect: Your plan remains active until the end of the current billing period. After that we move your account to the free plan, unless you request deletion of your account
Annual billing: With annual billing, cancellation takes effect at the end of the current billing year. No pro rata refund is given
Data: After cancellation, you can request deletion of your account and all associated data (see Privacy Policy)

The free plan has no contractual commitment. The right to terminate for good cause remains unaffected for both parties.

7. Acceptable Use

When using FeedOptimizer.AI, you agree to:

Not use the service for illegal purposes
Not attempt to reverse engineer, decompile, or disassemble the service
Not abuse or manipulate the subscription system
Not upload harmful, misleading, or content that violates Google Merchant Center policies
Not use automated access to the service beyond the contractual use covered by your booked plan
Comply with the Google Merchant Center policies

In case of violation, we reserve the right to restrict or suspend your access to the service.

8. Intellectual Property

Service: All rights to FeedOptimizer.AI, including software, design, logos, and content, belong to Kunden Kraftwerk LLC
Your product data: You retain full ownership of your product data. By using the service, you grant us a limited license to process your product data solely for the purpose of providing the service
AI-generated optimizations: The optimizations generated by FeedOptimizer.AI (improved titles and descriptions) belong to you and can be freely used by you

9. Google API Terms

Use of FeedOptimizer.AI is additionally subject to the Google API Terms of Service. We comply with the Google API Services User Data Policy, including the Limited Use requirements.

10. Liability

FeedOptimizer.AI is provided "as is" without any express or implied warranties.

We assume no liability for the results of AI optimization or its impact on Google Shopping campaign performance
AI-generated optimizations are suggestions. You are responsible for reviewing and approving optimizations before upload
Our total liability is limited to the amount you have paid us in the 12 months preceding the event giving rise to the claim
We are not liable for indirect damages, lost profits, data loss, or consequential damages
We do not guarantee any specific availability of the service. Scheduled maintenance will be announced in advance when possible

11. Indemnification

You agree to indemnify and hold harmless Kunden Kraftwerk LLC, its directors, employees, and partners from any claims, losses, costs, and expenses (including reasonable attorney's fees) arising from your use of the service, any breach of these Terms of Service, or any infringement of third-party rights by you.

12. Privacy

Details on the processing of personal data can be found in our Privacy Policy.

13. Changes to Terms of Service

We reserve the right to modify these Terms of Service at any time. For material changes, we will notify you at least 30 days before they take effect via email. Continued use of the service after the notice period constitutes acceptance of the modified terms.

If you do not agree with the changes, you may cancel your account before the changes take effect.

14. Governing Law and Jurisdiction

This English version applies to customers whose registered seat is outside Germany, Austria and Switzerland (see Section 1). Customers seated in Germany, Austria or Switzerland are governed by the German version of these Terms of Service and by the choice of law made there.

This English version is governed by the laws of the State of Florida, USA, without regard to conflict of law provisions.

Disputes arising out of or in connection with these Terms shall first be resolved through informal negotiation. If informal resolution is not possible, all disputes shall be subject to the exclusive jurisdiction of the courts in Orange County, Florida, USA.

Where mandatory law of your country applies notwithstanding this choice of law, that law prevails to the extent of the conflict.

15. Severability

If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that most closely achieves the economic purpose of the invalid provision.

16. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Kunden Kraftwerk LLC regarding the use of FeedOptimizer.AI. They supersede all prior agreements or understandings.
